Welcome to Frame × Frame Academy, an online film education platform operated by Marquis Barnes d/b/a Frame x Frame Academy ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at framexframeacademy.com, our mobile applications, online courses, digital content, and related services (collectively, the "Services").

Please read these Terms carefully before creating an account or purchasing any course. By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

01 Acceptance of Terms

By accessing or using Frame × Frame Academy's Services, you represent and warrant that:

• You are at least 13 years of age. If you are under 18, you have obtained parental or guardian consent to use our Services.
• You have the legal capacity to enter into a binding agreement.
• You are not prohibited from receiving services under the laws of the United States or any other applicable jurisdiction.
• All registration information you submit is truthful, accurate, current, and complete.

02 Account Terms

• Not use another user's account without permission.
• Log out of your account at the end of each session if accessing from a shared device.

One Account Per User

Each user may maintain only one active account. Creating multiple accounts to circumvent restrictions, access courses without payment, or exploit promotions is prohibited and will result in termination of all associated accounts.

Account Suspension

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for conduct that we determine violates these Terms or is otherwise harmful to other users, us, or third parties, or for any other reason.

03 Course Access & Enrollment

License Grant

Upon purchase of a course or subscription, Frame × Frame Academy grants you a limited, non-exclusive, non-transferable, revocable license to access and view the course content for your personal, non-commercial educational purposes only.

Access Duration

Unless otherwise stated at the time of purchase:

• Individual courses: Lifetime access for as long as the course remains available on the platform.
• Subscription plans: Access is limited to the duration of your active subscription. Content becomes inaccessible upon cancellation or expiration.
• Cohort or live courses: Access is limited to the specified cohort period and any stated post-cohort replay window.

Platform Availability

While we strive for 99%+ uptime, we do not guarantee uninterrupted access to the Services. We may modify, suspend, or discontinue any part of the Services at any time. In the event we discontinue a course or the platform entirely, we will provide reasonable notice and honor applicable refund rights.

No Resale or Redistribution

You may not resell, sublicense, transfer, or otherwise redistribute access to any course content. Sharing login credentials, screen-recording course content for redistribution, or uploading course materials to third-party sites is strictly prohibited.

Course Updates

We may update course content at any time to improve quality, accuracy, or relevance. We do not guarantee that course content will remain unchanged after purchase.

04 Refund Policy

Eligibility for Refund

To be eligible for our no-refund guarantee, the following conditions apply:

• The refund request must be submitted within 30 calendar days of the original purchase date.
• The request must be made by the original purchaser for the account used to make the purchase.
• Refunds apply to individual course purchases and first-time subscription charges only.
• You may only request one refund per course. Repurchasing a course after receiving a refund will not qualify for an additional refund.

How to Request a Refund

To request a refund, contact us through framexframeacademy.com with your order information and the reason for your request. We will process eligible refunds within 5–10 business days. Refunds will be issued to the original payment method.

Non-Refundable Items

The following are not eligible for refunds:

• Physical merchandise (books, apparel, accessories) — these are subject to our separate merchandise return policy.
• Subscription renewals after the initial 30-day period.
• Courses purchased more than 30 days prior to the refund request.
• Accounts terminated for violations of these Terms.
• Promotional or discounted purchases where refund terms were explicitly excluded at the time of sale.

Chargebacks

Initiating a chargeback or dispute with your bank or credit card company without first contacting us to request a refund may result in immediate account suspension. If a chargeback is filed fraudulently, we reserve the right to dispute it and pursue collection of amounts owed.

05 Intellectual Property

Our Content

All content available through the Services — including but not limited to course videos, audio recordings, written materials, worksheets, scripts, lesson plans, graphics, logos, the Frame × Frame Academy book series, the FxF methodology, and the overall platform design — is the exclusive intellectual property of Marquis Barnes d/b/a Frame x Frame Academy and is protected by United States and international copyright, trademark, and other intellectual property laws.

Trademarks

"Frame × Frame Academy," "FxF," and associated logos and marks are trademarks of Marquis Barnes. You may not use these marks in any manner without prior written consent from the Company. All other trademarks and service marks appearing on our Services are the property of their respective owners.

Restricted Use

Except for the limited personal license granted under these Terms, you may not:

• Copy, reproduce, modify, adapt, translate, or create derivative works of any course content.
• Publicly display, perform, or distribute course content.
• Use course content for commercial purposes, including teaching, workshops, or competing products.
• Remove, alter, or obscure any copyright, trademark, or proprietary rights notices.
• Reverse engineer or extract source materials from the platform.

DMCA Notice

We respect intellectual property rights. If you believe any content on our platform infringes your copyright, please send a DMCA takedown notice to us through framexframeacademy.com containing the information required by 17 U.S.C. § 512(c)(3).

06 User Content

Our Services may allow you to submit, post, or share content including comments, project submissions, portfolio work, forum posts, and other materials ("User Content").

License to Us

By submitting User Content, you grant Frame × Frame Academy a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, and distribute your User Content in connection with operating and promoting the Services. This license survives the termination of your account.

Your Representations

You represent and warrant that:

• You own or have the necessary rights to submit the User Content and to grant the license above.
• Your User Content does not infringe any third-party intellectual property, privacy, or other rights.
• Your User Content complies with these Terms and all applicable laws.

Content Standards

User Content must not be defamatory, harassing, threatening, obscene, fraudulent, or otherwise objectionable. We reserve the right to remove any User Content that violates these Terms or that we find objectionable for any reason, without notice.

No Obligation to Monitor

We have no obligation to monitor User Content, but we reserve the right to do so. We are not responsible for any User Content submitted by users.

07 Prohibited Use

You agree not to use the Services to:

• Harass, abuse, intimidate, threaten, or discriminate against other users, instructors, or Company personnel.
• Exploit or harm minors in any way.
• Use automated means (bots, scrapers, crawlers) to access the Services without our written permission.
• Circumvent any technological security measures or access controls on the platform.
• Use course content to build a competing educational product or service.

Violation of these prohibitions may result in immediate account termination and, where applicable, referral to law enforcement.

08 Payments & Billing

Pricing

All prices are listed in U.S. dollars and are subject to change without notice. We will honor the price at which you completed your purchase. Applicable taxes may be added at checkout based on your location.

Payment Processing

Payments are processed by third-party payment processors (such as Stripe). By providing payment information, you authorize us to charge the applicable fees to your selected payment method. We do not store full payment card details on our servers.

Subscriptions

If you purchase a subscription, you authorize us to charge your payment method on a recurring basis at the stated interval (monthly or annually) until you cancel. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; no prorated refunds are provided for unused subscription time unless required by law.

Failed Payments

If a payment fails, we may retry the charge and may suspend access to the Services until payment is resolved. You are responsible for ensuring your payment information is current and valid.

09 Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Frame × Frame Academy does not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free.
• Any results obtained from use of the Services will be accurate or reliable.
• The quality of any course, content, information, or other material purchased through the Services will meet your expectations.

Educational Outcomes: We do not guarantee that completion of any course will result in any specific career outcome, employment, income, or creative result. Individual results vary based on effort, experience, and many factors outside our control.

10 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FRAME × FRAME ACADEMY, MARQUIS BARNES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, business opportunities, or goodwill.
• Damages arising from your inability to access or use the Services.
• Damages arising from unauthorized access to or alteration of your data.
• Conduct or content of any third party on the Services.

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11 Indemnification

You agree to defend, indemnify, and hold harmless Frame × Frame Academy, Marquis Barnes, and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms.
• Your use of the Services in violation of applicable law.
• Your User Content.
• Any claim that your User Content infringes the rights of a third party.
• Your negligence or willful misconduct.

12 Termination

Termination by You

You may terminate your account at any time by contacting us through framexframeacademy.com or through your account settings. Termination does not entitle you to a refund unless you are within the 30-day refund window described in Section 4.

Termination by Us

We may suspend or terminate your access to all or part of the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

Effect of Termination

Upon termination of your account:

• Your license to access course content is revoked.
• We may delete your account data, though we may retain certain information as required by law or for legitimate business purposes.
• Any provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13 Governing Law & Dispute Resolution

Governing Law

These Terms and any disputes arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction and venue of such courts.

Informal Resolution

Before filing any claim, you agree to first contact us and attempt to resolve the dispute informally. Most disputes can be resolved quickly by contacting our support team through framexframeacademy.com.

Waiver of Class Action

TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST FRAME × FRAME ACADEMY.

14 Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page.
• Send a notification to your registered email address (for material changes).
• Post a notice on the platform.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and may request account termination.
